In-House Personal Training Terms
1. Program Scope and Services Provided: NorthStar AES agrees to develop a custom In-House Personal Training certification program tailored to the contracting gym's operational needs and client base. The program includes the creation of training materials, study guides, and examination content, all of which are proprietary to NorthStar AES but designed for exclusive use within the contracting gym.
2. Proprietary Rights: While the training materials and certifications are developed specifically for the contracting gym, all intellectual property rights, including copyrights and trademarks, pertaining to the training content and examination materials remain the sole property of NorthStar AES. The gym is granted a non-exclusive, non-transferable right to use these materials solely within its facility.
3. Certification Validity: Certifications issued under the IHPTS are valid only within the hiring gym and are not transferable to any other facility or organization. This exclusivity ensures that the skills and knowledge imparted are utilized solely to benefit the contracting gym.
4. Implementation Support: NorthStar AES will provide the necessary support to implement the training program, including trainer education, initial setup assistance, and evaluation of the program's effectiveness. Ongoing support may be offered as part of a separate agreement.
5. Financial Terms: The contracting gym agrees to pay for the program development and implementation services as outlined in a separate financial agreement. These payments include costs associated with the development and delivery of training materials and certification exams.
6. Staff Qualifications: The gym must employ all personnel to deliver the IHPTS and meet the qualification standards set by NorthStar AES. The gym agrees to ensure that only certified trainers deliver personal training services under this program.
7. Amendments and Revisions: The training program may be amended or revised periodically to reflect advancements in exercise science, changes in market demands, or gym feedback. Such amendments will be subject to mutual agreement between NorthStar AES and the contracting gym.
8. Termination of Agreement: Either party may terminate this agreement with written notice if the other party fails to comply with the terms outlined herein. Upon termination, the gym must cease all use of proprietary materials and return any physical copies of training content to NorthStar AES.
9. Dispute Resolution: Any disputes arising from or related to this agreement shall be resolved through mediation or, failing that, arbitration in accordance with the rules of the American Arbitration Association.
10. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state in which the contracting gym operates.
